01 Acceptance of Terms

By accessing or using the Scixa platform, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access or use our services. These terms constitute a legally binding agreement between you and Scixa regarding your use of the platform.

02 Eligibility

You must be at least 16 years old to use our services. By agreeing to these terms, you represent and warrant that you are of legal age to form a binding contract. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

03 Account Registration

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update your information promptly if it changes.

04 User Conduct

You agree not to use the platform to: violate any laws or regulations; infringe upon intellectual property rights; transmit harmful code; harass, abuse, or harm others; impersonate any person or entity; collect user information without consent; interfere with the operation of the platform; post spam or unauthorized commercial content; or engage in any activity that could harm minors.

05 Content Guidelines

When submitting content to our platform, you agree to adhere to our content guidelines. Content must be original, accurate, and properly attributed. You retain ownership of your intellectual property, but you grant us a license to host, display, and distribute your content on our platform. We reserve the right to remove any content that violates these terms.

06 Intellectual Property Rights

The platform and its original content, features, and functionality are owned by Scixa and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our name and logo are trademarks of Scixa and may not be used without our prior written permission.

07 Subscriptions and Payments

Certain features may require payment. By subscribing, you agree to pay all fees associated with your chosen plan. Fees are non-refundable except as required by law. We may change our fees with reasonable notice. You are responsible for all taxes associated with your subscription. Payment information is processed securely by third-party payment processors.

08 Termination

We may terminate or suspend your account and bar access to the platform immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the platform or contact us to delete your account.

09 Disclaimers

The platform is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property. We do not warrant that the platform will be uninterrupted, timely, secure, or error-free.

10 Limitation of Liability

In no event shall Scixa, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the platform.

11 Indemnification

You agree to defend, indemnify and hold harmless Scixa and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from your use of the platform or your violation of these terms.

12 Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13 Dispute Resolution

Any dispute arising out of or relating to these terms or your use of the platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

14 Changes to Terms

We reserve the right to modify or replace these terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our platform after those revisions become effective, you agree to be bound by the revised terms.
